Preface

The idea of writing a book of this nature was conceived in late 1965, but work did not commence on it until the middle of the ensuing year. Even then progress on it became rather slow for many reasons the chief of which is the fact that no sooner had we completed a chapter or part there of than we learnt of changes in that part of the law being introduced either by Decree or by Edict. We refer in particular to Chapters I and 8 which have had to be entirely rewritten due to the changes subsequently introduced. In preparing this book we have been especially mindful of two things: first, current thinking as to the contents of a course or courses in Business Law, and second, the recent changes in the law itself. It is, however, not unlikely that a few recent changes may have escaped our attention. Some changes, on the other hand, came to our notice too late to be included in this first edition.

Business Law is a composite subject in that it is made up of several subjects. There is, therefore, a strong tendency to produce a bulky text on it to the detriment of both the writer and the reader. We have, therefore, tried to cut down the size of this book, by omitting certain topics, like Suretyship and Guarantee, Arbitration, which we consider not to be as intricate or as involved as many of those we have treated. For those who have had no previous study of law, Chapters 1-4 will serve as a good background material to the understanding of the more specialized topics that follow. Although primarily intended to serve as a textbook for students preparing for the Business Law or Mercantile Law examinations of the various Nigerian universities, we have also tried to cater, to a large extent, for the needs of the students preparing for the examinations in Nigerian Law of the Nigerian Institute of Chartered Accountants. We also hope that it may prove to be of value to business men, law students, and the practitioners.

We must, at this juncture, record our sincere gratitude to the Dean of our Faculty Professor T. O. Elias, for his assistance and encouragement, without which this book would not have been a reality. He alone read the entire manuscript and made many useful corrections and suggestions. It is, however, hardly necessary to say that he is in no way responsible for any errors that may appear in this book. We also acknowledge the debt owed to other textbook writers who have traversed similar or allied fields before us. Our thanks are also due to the entire members of our faculty secretarial staff, particularly Messrs E. A. Oguntayo and J. D. Raji, who typed and retyped the manuscript from almost illegible drafts. A word of praise and appreciation also goe to our wives for cheerfully bearing the period of partial neglect which usually accompanies this type of venture. Finally, we wish to thank the University authorities for undertaking the publication of this book.
